Welcome to Shield & Pen (“we,” “us,” “our,” or the “Company”). This Membership Agreement (“Agreement”) explains the terms and conditions governing your (“Member,” “You,” or “Your”) participation in and use of our membership services, community, digital products, and related offerings (collectively, the “Services”).

By enrolling in our membership or otherwise accessing any of the Services, you acknowledge that you have read, understood, and agree to be bound by this Agreement, our Terms of Use and our Privacy Policy. If you do not agree, do not enroll or access any of our membership offerings.

1. Membership Eligibility

1.1 Age Requirement
You must be at least 18 years of age to enroll in or use our Services. By using the Services, you represent and warrant that you meet this age requirement.

1.2 Account Setup
You may be required to create an account with accurate and complete information. You agree to keep your account information up to date and secure. You are responsible for any activities that occur under your account credentials.

2. Description of Services

Our membership may include, but is not limited to:

• Guided Journaling Programs
• Live Calls, Webinars, or Workshops
• Community Forum or Group (private or otherwise)
• Educational and Inspirational Content (text, audio, video, PDFs)
• Email Newsletter or Coaching Updates

We reserve the right to modify, replace, or discontinue any portion of the Services at our discretion, with or without notice.

3. Membership Fees and Payments

3.1 Subscription Fees
Membership fees, subscription rates, or one-time payment amounts (collectively, “Fees”) will be outlined at the time of purchase. By enrolling, you agree to pay all Fees associated with the Services.

3.2 Billing Cycle
If you select a subscription option, you will be billed in advance on a recurring basis (monthly, quarterly, annually, etc.) as specified during checkout. Unless otherwise stated, your membership will automatically renew at the end of each billing cycle unless canceled.

3.3 Payment Methods
We may use third-party payment processors to handle transactions. By providing a payment method, you represent that you have the legal right to use it, and you authorize us to charge the payment method for the Fees.

3.4 Refund Policy
Refunds, if offered, will be subject to the terms stated at the point of purchase. We reserve the right to refuse refunds that do not meet our stated conditions.

4. Cancellation and Termination

4.1 Canceling Your Membership
You may cancel your membership at any time via your account settings or by contacting our support email. Cancellation will take effect at the end of your current billing period, and you will not be charged for the next period.

4.2 Termination by the Company
We reserve the right to terminate or suspend your access to the Services, with or without notice, if we determine you have violated any part of this Agreement, our Terms of Use, Privacy Policy, or have otherwise engaged in conduct deemed harmful to our community or business interests.

4.3 Effect of Termination
Upon termination or cancellation, you will lose access to the Services, including any community features or digital materials, unless otherwise specified. Any Fees paid prior to the termination date are non-refundable, unless stated in a separate written agreement or refund policy.

5. Community Guidelines

5.1 Respectful Behavior
By participating in our community (live calls, forums, social media groups), you agree to maintain a respectful environment. Harassment, hate speech, and abuse of any kind are strictly prohibited.

5.2 Confidentiality
Members may share personal stories, prayer requests, or sensitive information. You agree to keep community discussions confidential and not disclose personal details of other members without explicit permission.

5.3 No Unauthorized Solicitation
You may not use the community or any part of the Services to solicit other members for commercial or personal gain without our explicit prior consent.

5.4 Content Sharing
You are solely responsible for the content you post. We reserve the right to remove any content we deem offensive, inappropriate, or not in line with our mission.

6. Intellectual Property and License

6.1 Our Content
All content provided through the Services, including but not limited to text, videos, graphics, logos, and software, is owned or licensed by us. It is protected by copyright, trademark, and other applicable laws. You are granted a limited, non-exclusive, non-transferable license to access and use the content strictly for personal, non-commercial purposes.

6.2 User-Generated Content
Any content you submit remains your property, but by posting or sharing within the membership, you grant us a worldwide, royalty-free license to use, display, and modify that content for the purpose of operating the community and providing the Services.

6.3 Restrictions
You may not reproduce, duplicate, copy, sell, resell, or otherwise exploit the content for commercial purposes without our express written permission.

7. Disclaimers and Limitation of Liability

7.1 Disclaimer of Warranties
Your use of the Services is at your sole risk. We provide the Services “as is” without warranties of any kind, whether express or implied. We make no guarantee that the Services will be uninterrupted or error-free, or that any specific results will be achieved.

7.2 Limitation of Liability
To the fullest extent permitted by law, we shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising out of your use of the Services, even if we have been advised of the possibility of such damages.

7.3 No Guarantees of Success
The membership may include educational or informational content related to journaling, stress management, personal development, or spiritual growth. We do not guarantee specific results, as individual outcomes may vary based on personal effort, consistency, and other factors beyond our control.

8. Indemnification

You agree to indemnify, defend, and hold harmless Shield & Pen, its affiliates, officers, employees, agents, and licensors from and against any claims, liabilities, damages, losses, or expenses (including legal fees) resulting from or in any way connected with your misuse of the Services, violation of this Agreement, or infringement by you (or any other user of your account) of any intellectual property or other right of any person or entity.

9. Privacy

Your personal information is handled according to our Privacy Policy, which is hereby incorporated by reference. By using our Services, you consent to our collection and use of personal data as outlined in the Privacy Policy.

10. Dispute Resolution

Any dispute arising out of or relating to this Agreement shall be handled according to the dispute resolution clauses found in our Terms of Use. By agreeing to this Membership Agreement, you also agree to the binding arbitration clause and applicable jurisdiction stated in the Terms of Use.

11. Modifications to This Agreement

We reserve the right to modify or update this Agreement at any time. We will post the updated version on our Website with a “Last Updated” date. Your continued use of the Services after any changes have been posted constitutes acceptance of the updated Agreement.

12. General Provisions

12.1 Entire Agreement
This Agreement, together with the Terms of Use and Privacy Policy, constitutes the entire understanding between you and Shield & Pen regarding the Services.

12.2 Severability
If any provision of this Agreement is deemed invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

12.3 Waiver
No waiver of any term of this Agreement shall be deemed a further or continuing waiver of such term or any other term.

12.4 Assignment
You may not assign your rights or obligations under this Agreement without our prior written consent. We may assign our rights or obligations to an affiliate or in connection with a merger or acquisition.
